These Terms & Conditions (these “Terms”) contain the terms and conditions on which we supply content, products, or services listed on www.oneathlete.app (the “Website”), through our applications (the “Apps”), or via other delivery methods to you (the Website and such content, products, services, and the Apps are collectively referred to herein as the “Product” or “Products,” which may be updated from time to time at the sole discretion of OneAthlete). Please read these terms and conditions carefully before ordering any Products from the Website or third-party App stores (e.g., the Apple App Store, the Android Play Store, Amazon, etc.). The terms “OneAthlete,” “us,” or “we” refer to OneAthlete, Inc. The term “Device” refers to the device used to access the Products, including but not limited to computers, smartphones, and tablets. The term “you” refers to the user of the Products. When you order (“Order”) any Products or otherwise use or access the Products, you agree to be bound by these Terms and all applicable laws, rules, and regulations. You may also be asked to click “I accept” at the appropriate place prior to your purchase of access to the Products. If you do not click “I accept” at that time, you may not be able to complete the purchase or gain access.
2. Scope of Terms
2.1. These Terms pertain to your utilization of the App and all other OneAthlete Products and Services, encompassing any content provided therein. If you agree to different or supplementary terms regarding specific Services or Products, those terms become integral to your agreement with us upon using said Services or Products. The legal relationship between OneAthlete and the user, concerning the utilization of Services and Products, is exclusively governed by these Terms and any such supplementary terms. In case of a conflict between these Terms and any supplementary terms, the supplementary terms will take precedence. Contradictory terms provided by you or any other user are not applicable, even if we do not explicitly object to them. By using the Products, you indicate your acceptance of these Terms and your agreement to abide by them. If you do not consent to be bound by these Terms, you are not authorized to use the Services or Products.

OneAthlete retains the right to modify or revise these Terms, along with any other policies or procedures, at any time, and will notify users by posting such changed or updated Terms on this page.These changes or updates will take effect immediately upon being posted at www.oneathlete.app. By continuing to use the Products, you indicate your acceptance and commitment to comply with the updated Terms. In specific situations, we may also choose to notify you of such changes or updates via alternate methods, including pop-up or push notifications within the Products or email.
5. Becoming a Member
5.1. To become a Member, sign up by providing your first name, last name, email address, and creating a password in the relevant section of the Products. Safeguard your account, password, and Device access. One account per user only.
5.2. During your Product use, you may need to share personalized information. You are responsible for the accuracy and currency of User Information.5.3. By registering for a OneAthlete account, you confirm that:
- You can legally enter binding contracts;
- All registration details are truthful and accurate;
- You'll maintain information accuracy; and
- Your Product use complies with applicable laws and regulations.
6. Once a Member
Upon becoming a Member, it is your responsibility to maintain the confidentiality of your account, password, and other User Information. You should also take measures to restrict access to your Device to enhance the security of this information. Furthermore, keeping your User Information updated is your responsibility.
7. Use of OneAthlete by Minors
To register as a user of the Products, you must be either 18 years old or the legal age of majority in your province, territory, or country. Users below the age of 18 or the applicable age of majority may access the audiovisual content in the Products only with the participation and approval of a parent or legal guardian.
8. Subscriptions
8.1. OneAthlete account holders can access the Products through the OneAthlete app, which includes a subscription program with access to all content. You'll have access to OneAthlete during your active paid subscription. A free trial period may apply, converting to a paid half-yearly subscription afterward. Access OneAthlete by purchasing a subscription from the Apps, through selected App marketplace partners, or via bundled subscription partners. Note that sales made through Apple iTunes Store, our iPhone app, or Google Play store are final, subject to their respective payment policies.
8.2. Access OneAthlete through half-yearly subscriptions. A half-year is 180 calendar days for subscription purposes.8.3. Half-yearly subscriptions are paid upfront with automatic half-yearly renewals. OneAthlete can charge the Payment Method for the initial half-yearly fee and subsequent renewal fees unless cancelled.8.4. All purchases are considered final, and OneAthlete will not issue refunds. By completing a purchase and agreeing to the Terms, you acknowledge and consent to the immediate execution of the contract, thereby waiving their right to withdrawal. Please note that purchases made through the Apple or Google Play Store are subject to the respective payment policies of Apple or Google Play, which should be reviewed before making a purchase.8.5. Notify OneAthlete of any Payment Method changes for outstanding subscriptions. You're responsible for all fees, charges, and taxes incurred, including subscriptions purchased.8.6. OneAthlete and its payment service provider may receive updated credit card information from your issuer to prevent subscription interruptions. Opt-out options may be available through your issuer.9. Device Requirements
To use OneAthlete on your smartphone or other Device, ensure your Device meets specific system requirements. Find these requirements in the Google, Apple, and Amazon App marketplaces.
10. Changes to Fees and Charges
We may modify our subscription plans or adjust pricing for our service or its components as we see fit, at our sole discretion. Unless stated otherwise in these Terms, any price or subscription plan changes will be effective after providing notice to you.
11. Cancellation by you
11.1. You have the freedom to cancel your subscription at any time, with the cancellation taking effect at the end of the applicable period.
11.2. Please note that if you purchase a subscription through the Apple iTunes Store or Google Play you may cancel your subscription by cancelling automatic renewal according to their current process.12. Cancellation by OneAthlete
We reserve the right to suspend or terminate your access to the Products if you engage in fraudulent activities or violate any obligations outlined in these Terms. Such suspension or termination may occur suddenly and without prior notice. Violations of these Terms encompass, but are not limited to, unauthorised copying or downloading of our audio or video content from the Products.
13. Prohibited Use of OneAthlete
13.1. You must not upload, post, email, transmit, or introduce materials containing viruses or harmful code that disrupt, damage, or limit computer software, hardware, or equipment linked directly or indirectly to OneAthlete. Interference with the Products' servers or networks, or unauthorized access, is strictly prohibited.
13.2. Impersonation, offensive conduct, and any illegal, immoral, or harmful use of OneAthlete are not allowed.13.3. Violating these provisions may constitute a criminal offence under applicable laws. We may report such breaches to law enforcement and cooperate by disclosing your identity. Your right to use OneAthlete will immediately cease upon such violation.13.4. Without the express written consent of OneAthlete, you cannot use the Products for scientific research, analysis, or evaluation purposes.14. Availability of OneAthlete
We aim for the best service, but cannot guarantee faultless performance. If an issue arises, report it to us at hello@oneathlete.app. We'll address it, which may include temporary access suspension. We're not liable for reasonable downtime. Occasionally, we'll limit access for maintenance or updates, but will restore service promptly. Standard order and cancellation policies apply during downtime; notify us of changes.
15. User Material
15.1. You may be able to submit various materials to us, like audio, video, text or images, collectively referred to as "User Material." Your use of User Material must comply with these Terms.
15.2. We don't systematically review User Material, and you're responsible for it. We may remove or restrict your User Material, especially if it violates these Terms.15.3. User Material is not endorsed by us. We have no warranties or representations about it, including its legality or accuracy.15.4. We can refuse, remove, or edit User Material at our discretion without notice, especially if it breaches these Terms.15.5. We may link User Material to other content, including that submitted by other users or created by OneAthlete or third parties. We may use User Material for internal purposes, such as trend analysis, promotion, marketing, or advertising of OneAthlete. You acknowledge that we may derive commercial benefits indirectly from your User Material.15.6. User Material isn't confidential. By submitting it, you grant us a licence to use it for various purposes.15.7. Submissions, like feedback or suggestions, are also treated as non-confidential and non-proprietary. We may use Submissions for various purposes.15.8. Each time you submit User Material to us, you represent and warrant to us as follows
- You own or have the right to submit it.
- It's not illegal, offensive, or inappropriate.
- It doesn't advertise, solicit, or violate the law.
- It doesn't identify individuals under 18 without consent.
- It doesn't collect user emails for spam.
- It doesn't engage in illegal activity or misuse
- It doesn't attempt unauthorised access or security breaches.
16. Intellectual Property
16.1. Subject to your payment of applicable subscription fees, OneAthlete grants you a limited, non-exclusive, revocable license to stream, download, and use the Products for personal, non-commercial purposes. The Products contain or embody copyrighted material, proprietary material, or other intellectual property owned by OneAthlete or its licensors. Ownership rights remain with OneAthlete or its licensors. Your rights are limited to using the Products as per this License Agreement and our other Terms.
16.2. You agree not to:
- Copy, store, reproduce, modify, or reverse-engineer the Products.
- Use the Products to create software or tools.
- Rent, lease, loan, sell, or distribute the Products.
- Tamper with or bypass technology protecting the Products.
- Circumvent territorial restrictions on the Products.
- You may not make the Products available to the public. The Products are owned by OneAthlete or its licensors, and your use must be in accordance with these Terms.
17. Products Disclaimer
The content within the Products is provided solely for general information purposes. Although we strive to maintain its accuracy and relevance, we do not offer any express or implied representations or warranties regarding its completeness, accuracy, reliability, suitability, or availability for any particular purpose. Thus, any reliance you place on this information is entirely at your own discretion and risk.
18. Health disclaimer
18.1. General: By using OneAthlete's Services, Products, and Content, you acknowledge, accept and agree that the use is at your own risk and
- Our Services, Products, and Content are non-clinical and intended for informational purposes only.
- They are not designed, implied, or suitable for diagnosing, preventing, or treating medical conditions or diseases.
- OneAthlete is not a licensed medical care provider and does not diagnose, examine, treat, prescribe medications, or assess treatment impacts on medical conditions.
- We do not offer emergency medical services and do not contact individuals regarding medical conditions or treatments.
- We are not responsible for the effectiveness or correct use of the Content delivered through our Services or Products.
- Individual results may vary, and no specific outcomes or benefits are guaranteed.
18.2. Movement Content Caution: By using OneAthlete's Services, Products, and Content, you accept and agree that the use is strictly at your own risk and your responsibility to
- Before engaging in any movement or breath-work content ensure you are in good physical health without conditions that could pose risks during physical activities.
- Consult a licensed physician before starting or altering an exercise program, especially if you have a history of injuries, heart disease, high blood pressure, chronic illnesses, or other medical conditions.
18.3. Psychological Considerations: By using OneAthlete's Services, Products, and Content, you accept and agree that the use is strictly at your own risk and your responsibility to
- Exercise caution when engaging in practices that may affect your mental well-being.
- Consult a licensed psychiatrist or psychologist before starting or altering an mental exercise program, especially if you have a history of or are currently experiencing psychological conditions, consult a mental health professional before starting any new practices.
- Monitor your emotional state during these activities and adjust as needed to ensure your well-being. Prioritize your mental health and seek professional guidance when necessary.
19. Safe Usage
Not all activities described within our Services or Products are suitable for everyone. Avoid using them while operating a vehicle, heavy machinery, or engaging in tasks requiring attention and concentration. Commit to responsible and prudent use of the Services and Products.
20. Assignment by OneAthlete
OneAthlete may transfer its rights and obligations under these Terms to any company, firm, or individual at any time, provided it does not materially affect your rights. You may not transfer your rights or obligations under these Terms to any other party. These Terms are personal to you, and no third party is entitled to benefit from them, except as stated herein.
21. Warranties and Limitations
21.1. OneAthlete warrants that any Product purchased from us will conform with its description and be of satisfactory quality upon delivery.
21.2. OneAthlete warrants it will use reasonable skill and care in providing the Products to you during your subscription.21.3. You assume full responsibility for your use of the Products. OneAthlete shall not be liable for any loss, death, damage, or injury, unless caused by gross negligence, recklessness, or willful misconduct.21.4. The Products are provided "as is," and OneAthlete makes no representations or warranties regarding their accuracy, completeness, or currency. We disclaim any warranties or representations, including merchantability or fitness for a particular purpose, to the extent permitted by law. We make no warranties or representations regarding the timeliness, accuracy, quality, completeness, or existence of the content posted on the Products.21.5. To the extent permitted by law, all implied conditions, warranties, and terms are excluded.

22. Force Majeure
We are not liable for any lack of performance, unavailability, or failure of the Products, or for any failure or delay in complying with these Terms if it arises from causes beyond our reasonable control.
23. Third-Party Rights
A person who is not a party to these Terms, has no rights under or in connection with these Terms.
24. Liability Limitation
24.1. Except as stated in 24.2 – 24.4, OneAthlete, its employees, contractors, partners, or affiliates shall not be held liable for indirect, special, or consequential damages. This includes, but is not limited to, damages resulting from data loss, property loss, property damage, loss of profits, and loss of business.
24.2. If the loss or damage is a result of OneAthlete's negligence or the negligence of its employees, contractors, partners, or affiliates, the liability limitation outlined in 9.1 shall still be applicable. However, this limitation will not apply in cases of gross negligence.24.3. The liability limitation mentioned in 9.1 shall not apply in cases of death or personal injury to the consumer or if fraudulent misrepresentation by OneAthlete is proven. 9.4 If a User chooses to rely on the information provided in the Apps for purposes beyond general information, they do so at their own risk. OneAthlete shall not be held liable for any consequences arising from such reliance.24.4. The reference to property damage in 9.1 shall not affect liability arising from the improper integration of the digital service.24.5. In the event that OneAthlete can no longer offer support or if it is considered unnecessary and unreasonable to continue supporting older versions of the Apps, no liability shall arise for any claimed loss or damage. In such cases, Users may choose to install the latest App Update or terminate the license.25. Dispute Resolution
25.1. If the User encounters any issues or concerns, we recommend contacting OneAthlete at hello@oneathlete.app. Our aim is to address and resolve problems at an early stage to prevent escalation.
25.2. Recognizing the advantages of efficiency and cost-effectiveness, OneAthlete suggests that any dispute arising from or related to these Terms, including disputes concerning the contract's existence, validity, or termination, should be conclusively settled through arbitration conducted by the Danish Institute of Arbitration. (a) The arbitration shall follow the Rules of Arbitration adopted by the Danish Institute of Arbitration's Board. (b) An individual arbitrator, appointed by the Institute, shall constitute the arbitration tribunal. (c) The arbitration proceedings shall take place in Copenhagen, and the language used shall be either English or Danish, depending on the circumstances. (d) The contract shall be governed by Danish law.25.3. If the App licensee resides in the EU and is an online consumer, they have the right to seek recourse through the online platform. The European Online Dispute Resolution (ODR) platform can be accessed at ec.europa.eu/consumers/odr. However, it is important to note that OneAthlete retains sole discretion on whether to use this platform, and there is no obligation for OneAthlete to resolve disputes through it.25.4. Without prejudice to the provisions in 24.1 – 24.3, both parties have the option of seeking judicial redress, with Danish law being applicable. Danish courts have exclusive jurisdiction over disputes or claims, including non-contractual ones, arising from or related to these Terms, their subject matter, and formation.25.5. Should any part of these Terms be deemed unenforceable by a court or arbitration tribunal, the remaining provisions shall remain valid and enforceable to the extent possible.26. Severability
If any provision in these Terms is unenforceable, it will be severed without affecting the validity of remaining provisions.
